By accessing or using CTWise.ai (the "Service"), operated by OrchestraPrime.ai Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

CTWise.ai provides AI-powered clinical trial protocol optimization services designed to help identify and prevent protocol amendments. Our Service includes:

  3. API access for system integration
  4. Dashboard and reporting tools
  5. Support and consultation services

3. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes related to clinical trial protocol optimization.

4. User Responsibilities

You agree to:

  1. Provide accurate and complete information
  2. Maintain the confidentiality of your account credentials
  3. Use the Service only for lawful purposes
  4. Not reverse engineer or attempt to extract our algorithms
  5. Comply with all applicable laws and regulations
  6. Not upload any malicious code or harmful content

5. Intellectual Property

The Service, including all content, features, and functionality, is owned by OrchestraPrime.ai Inc. and is protected by international copyright, trademark, and other intellectual property laws. Our Evidence Chain technology and AI algorithms are proprietary and confidential.

6. Data Processing

By using our Service, you acknowledge that:

  1. We process protocol data solely to provide our optimization services
  2. You have the right to upload and process the protocols you submit
  3. We maintain strict confidentiality of all protocol information
  4. Our processing complies with 21 CFR Part 11 requirements
  5. You retain all rights to your protocol data

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SPECIFICALLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CTWISE.AI PROVIDES RECOMMENDATIONS ONLY; FINAL PROTOCOL DECISIONS REMAIN YOUR RESPONSIBILITY.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHESTRAPRIME.AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE.

9. Subscription and Payment

  1. Subscription fees are based on your selected plan
  2. Payment is due according to your billing cycle
  3. Prices may change with 30 days notice
  4. Refunds are handled according to our refund policy
  5. You may cancel your subscription at any time

10. Termination

We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New Jersey.
